Catalina Fleet 21 - Chicago Region

ARTICLE I - NAME

            The name of this fleet shall be Catalina Fleet 21 - Chicago Region.

           

ARTICLE II - PURPOSE

            The object and purpose of this association is:

            a.  To promote and maintain an organization for the mutual benefit and pleasure

                 of owners of sailboats manufactured by Catalina Yachts, their families and 
                 crew.

           

            b.  To promote the pleasure and interest of its members through the use of        

                        sailboats manufactured by Catalina Yachts, by providing active programs
                        of 
instruction in the art of sailing, by supplying a forum for the exchange of
                        ideas, by 
promoting social activities of interest to members, including day
                        sailing, cruising and 
racing.

 

            c.  To aid members in all proper matters relating to their ownership and use of
                 sailboats 
manufactured by Catalina Yachts.

 

            d.  To lend support to the National Association.

 

            e.  To promote good relations between the fleet and local marine dealers.

 

ARTICLE III - MEMBERSHIP

            The membership shall consist of the following classes:

 

            a. REGULAR MEMBER:  A regular member must be an owner of a sailboat    

            manufactured by Catalina Yachts.  The membership of a regular member shall include the member's immediate family and includes the participation of said family members in all fleet activities appropriate thereto. 

 

            b. ASSOCIATE MEMBER:   An associate member shall be:

                 1. Any former member-owner of a Catalina still interested in the Catalina and
                  the 
fleet activities.

 

1.        2.  Any member of this fleet as of May 1, 1977, who became a member without

having owned a Catalina 22 or Catalina 25.   This category of an associate

member is created to cover those members who joined the fleet when the

membership regulations were not enforced but who are a valued part of our fleet.

These members shall not be denied their status as associated members even

though the fleet will follow strict adherence to the membership requirements from

this point forth.  The membership of an associate shall include the members of his

immediate family and includes the participation of said family members in all fleet

activities appropriate thereto.


 

            c.  NON-RESIDENT MEMBER: A non-resident member shall be an
                 owner of a 
sailboat manufactured by Catalina Yachts and his immediate family
                 who reside over 1
00 miles from Chicago, Illinois, and cannot regularly
                 participate in fleet activities 
and who does not desire to be a regular member.

 

            d.   CREW MEMBER:  A Crew member shall be:

                 1.  A person sponsored by and serving on a regular or associate member's
                 boat. 
crew member shall receive the newsletter, but is not entitled to vote or
                 hold elective 
office.

 

                 2.   Effective June 1, 1993,   Crew membership will not be available to any
                 person 
owning or having an interest in any boat, other that the sponsoring
                 member's boat, 
within 100 miles of Chicago.

 

ARTICLE IV - VOTING

            a.  All regular and associate members whose dues are paid in full shall be entitled
            to vote.

 

            b.  Each boat shall be limited to one (1) vote, with the exception of multiple
            ownership, 
where each dues paying member shall be entitled to one (1) vote.

 

            c.  In all matters requiring a vote from the membership, except for a vote in the
            change of 
the By-Laws (refer to Article VIII-C) a simple majority shall prevail,
            assuming a 
quorum exists.

 

            d.  A quorum shall consist of attendance at a properly convened regular or special

             meeting of 25% of the membership in good standing as reflected by the
             membership 
roster of the fleet.

 

ARTICLE V - DUES

2.        a.  The schedule of dues established herein reflects current needs and expenses
            of   the 
fleet and shall be subject to reassessment.  Any increase in dues shall require amending the by-laws as provided for in Article VIII-C. 

            b.  New Member $45     Non-resident Member   $15/annual

            Regular Member  $30/annual      Crew Member   $30/annual

            Associate Member                $30/annual     

 

            b.  Dues shall be payable at the first meeting of each year.  Any member who has not paid annual dues by the third meeting of any year will be considered delinquent and excluded from all fleet activities.  In order to be reinstated as a member in good standing such delinquent member shall be required to pay full dues.


 

            c. Anyone becoming a new member of the fleet after the 30th day of July of any
            given 
year may pay 1/2 of the annual  dues for his membership for the balance of
            that year.

 

            d. Prospective members shall be entitled to attend three (3) meetings and receive
             three 
(3) complimentary copies of the fleet newsletter.

 

ARTICLE VI - MEETINGS

            a. ANNUAL MEETING:  An annual meeting shall be held no later than
            November of 
each year.  Fleet officers shall be elected at said annual meeting for
            the term of one 
(1) year to serve until the next annual meeting.

 

            b. REGULAR MEETINGS: Regular meetings shall be held monthly, except for the

            month of December, for the purpose of discussing such business as may be

            appropriate and to provide programs or activities of interest to the membership.

 

            c. SPECIAL MEETINGS: Special meetings can be called from time to time as

            determined by the executive Committee or upon written request of the Fleet

            Commodore by any four (4) members in good standing.

 

ARTICLE VII - OFFICERS

            a. FLEET COMMODORE: The fleet Commodore shall be the presiding officer
            of   the 
fleet, shall chair all meetings, and serve as chairman of the executive 
            committee.  The 
Commodore shall appoint all committee chairman as may be 
            required from time to 
time.

 

3.        b. FLEET CAPTAINS: There shall be a fleet captain for each size Catalina National Sailing Association.  Each shall be the fleet representative to the corresponding size National Association and should be a member of their respective national organization

and boat owner thereof (i.e., Fleet Captain - Catalina 22 National Representative).

The Commodore shall appoint one Fleet Captain as Vice Commodore to act as

Commodore in the absence of the Commodore.

               FLEET VICE COMMODORE:  The Vice Commodore shall act as Commodore in the absence of the Commodore.  The Vice Commodore shall be selected by the Nominating Committee. 

           

            c. SECRETARY:  The secretary shall take and keep minutes of all meetings and 
            keep an 
up-to-date record of the by-laws, making copies available to members
            upon 
request.

 

            d.  TREASURER:  The treasurer shall collect all dues and assessments or other
            funds, 
disperse all moneys, keep a record (roster) of members, and account
            periodically the 
status of the treasury to the members with a full accounting
            provided at the annual 
meeting.


 

 

ARTICLE VIII - EXECUTIVE COMMITTEE

            The Executive Committee shall consist of the Fleet Commodore, who shall be Chairman,

4.        Fleet Captains Vice Commodore, Secretary, Treasurer and Chairman of each standing committee.  The majority vote shall decide all issues and in the event of a tie vote, the issue shall be referred back to the general membership.  Seven (7) members shall constitute a quorum.  The duties of the Executive Committee are as follows:

 

            a.  To Conduct the business of the Fleet.

 

            b.  To interpret the By-Laws.

           

            c.  To amend or replace existing By-Laws, which amendment or replacement must

                 be ratified by the regular membership by a two-thirds (2/3) majority at a
                 properly 
constituted meeting when a quorum exists with 30 days prior notice.

 

            d.  To keep the members informed of all decisions affecting the fleet.

 

            e.  The Executive Committee shall meet periodically at the discretion of the
            officers.

 

ARTICLE IX - STANDING COMMITTEES

            a.  The chairman of each committee shall be chosen by the Fleet Commodore with

                 the approval of other officers.

 

            b.  The size of each committee shall be determined by the committee chairman.

 

            c.  The standing committees are as follows:

 

                 1.            Programs                           4.  Publicity/Newsletter    

                 2.            Membership                      5.  Racing/Measuring

                 3.            Outings                              6.  Member at Large

 

            d.  The committee members shall be chosen by the chairman of each committee. 

                        Committee members shall be chosen to have responsibility for:

 

                 1.            Marina Relations                     4.  Safety and Education

                 2.            Rigging and Equipment             5.  Banquet

                 3.            Directory                                6.  Hospitality


 

 

ARTICLE X - VACANCIES

            If any officer shall resign or otherwise be unable to serve the office to which
           elected, 
a replacement shall be appointed by the Fleet Commodore to fill said
            vacancy until 
the next constituted regular or special meeting of the membership, at
            which time 
a replacement shall be elected by the membership.

 

ARTICLE XI - NOMINATING COMMITTEE

            The Nominating Committee shall consist of five (5) regular members of the fleet. 
            No 
more than three (3) of the Executive Committee shall be part of the Nominating

5.       committee, one of whom shall be the Fleet Vice Commodore.  The Fleet Commodore shall select the members of the Nominating Committee no later than the first day of July in each year.  It will then be the obligation and duty of the Nominating Committee to present a slate of officers for election by the membership.  Said slate shall be present at the September general meeting.
